Terms of Service

1. Acceptance of these Terms

These Terms of Service (“Terms”) are a binding agreement between you and OpenEng Labs Private Limited, Bangalore, Karnataka, India (“OpenEng”, “we”, “us”) governing your access to and use of the following (collectively, the “Services”):

• our website, openeng.app;
• the five engineering apps — Terminal, Kubernetes, Data, Git, and Chat — and the engines you run for them on your own machine;
• OpenEng AI: the OpenEng AI engine, the Web Console (app.openeng.app), and the OpenEng Console (console.openeng.app); and
• the services that support them, such as sign-in, billing, releases, feedback, and the docs.

By installing, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 16 years old, and able to form a binding contract, to use the Services. If you use the Services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

3. The Services

OpenEng is one engineering platform with two parts:

• Engineering apps. Browser-based developer apps that run against a small native engine you install and run on your own machine. The browser app is a thin client; commands, cluster calls, git operations, and database queries execute locally on your hardware or, for a cloud connection, in a connector you deploy in your own cloud; nothing executes on OpenEng’s servers. Engines are published for Terminal, Kubernetes, and Data; the Git and Chat engines are not yet available.
• OpenEng AI. Local-first, agentic engineering tools: an engine that downloads and runs open-weight AI models and agents on your own machine, driven from the browser Web Console and configured in the hosted Console. The AI engine starts only with an OpenEng key (an API key from the Console) and requires an active Pro plan.

You are responsible for the machine the engines run on and for anything you do with the Services. We may add, change, suspend, or discontinue features at any time.

4. Plans and pricing

Engineering apps — free of charge. The engineering apps and their engines are provided free of charge. There are no paid tiers, subscriptions, or features locked behind a paywall. We may change what we offer, or introduce paid features in the future, but any plan you are using will not start charging you without notice.

OpenEng AI. OpenEng AI’s Free plan covers the Console’s interface and the public catalogs. Its paid plans — a Pro subscription, Enterprise, and pay-as-you-go planning credit for the included Cloud Planner — unlock additional features, described at openeng.app/pricing. The paid plans launch in Q4 2026 and cannot be purchased before then, and the AI engine needs Pro.

5. Subscriptions, billing & cancellation

The Pro plan is a monthly subscription billed in advance; its price will be published at launch (Q4 2026). Payments are processed by Razorpay; the charge is made in INR at an exchange rate we set, and the INR amount is shown at checkout; your bank or card issuer may apply its own conversion fees. Prices are exclusive of any taxes that we are required to collect, which are added at checkout where applicable.

Trial. Any trial and its terms will be announced at launch. Nothing is charged unless you start a paid subscription.

Cancellation. You can cancel anytime from openeng.app/subscribe or from your subscription dashboard at billing.openeng.app. Cancellation stops future renewals; you keep Pro access until the end of the period you have already paid for, after which the account moves to the Free plan.

Refunds. Refunds are handled under our Refund & Cancellation Policy. Except where required by applicable law or stated in that policy, payments are non-refundable and we do not provide refunds or credits for partial billing periods. If you believe you were charged in error, contact us at hello@openeng.app within 30 days of the charge and we will review it in good faith.

Price changes. We may change subscription pricing with at least 30 days’ notice; changes take effect at your next renewal, and you can cancel before then.

6. Your account

You sign in with Google — to use the Console and the Web Console, and to pair your browser with the engine of each engineering app. You are responsible for maintaining the security of the Google account you use and for all activity under your OpenEng account. Keep your OpenEng keys and the one-time keys the apps show you confidential; if a key is exposed, revoke it in the Console. Notify us promptly at hello@openeng.app if you believe your account has been compromised or used without authorization. Authentication is provided through Firebase Authentication, as described in our Privacy Policy.

7. License

Subject to these Terms, OpenEng grants you a personal, non-exclusive, non-transferable, revocable license to download, install, and use the Services for your personal or internal business purposes, and nothing more. OpenEng is not open source. All rights not expressly granted are reserved. Open-source components included in the Services remain governed by their respective licenses.

8. Acceptable use

You agree not to:

• use the Services to violate any law or the rights of others;
• reverse engineer, decompile, or attempt to extract source code except as permitted by applicable law or an applicable open-source license;
• attempt to gain unauthorized access to the Services, other users’ accounts, or their systems;
• resell, sublicense, or commercially redistribute the Services except as expressly permitted or with our permission;
• interfere with, disrupt, or compromise the integrity or security of the Services or any connected system;
• use the Services to generate or distribute malware, spam, or unlawful, harmful, or infringing content; or
• misrepresent your identity or impersonate any person or entity.

You are solely responsible for the commands you run, the agents you build, and the actions you authorize through the Services.

9. Your content and data

You retain all rights to the content you create or process with the Services — your code, files, repositories, clusters, databases, prompts, agents, and outputs (“Your Content”). Because the Services are local-first, Your Content stays on your device unless you choose to send it to us, and we claim no ownership of it. You are responsible for Your Content, for maintaining your own backups, and for the security of your own environment.

Where you choose to store content with us — configs and files you save in the Console, approval requests your engine registers, requests you send through the Web Console and the engine data and replies it carries between your browser and your engine (which our Broker keeps for 7 days by default, as the Privacy Policy describes), requests to the included Cloud Planner, paid from planning credit, which pass through our API, or feedback — you grant OpenEng a limited license to host, process, and transmit it solely to provide the Services to you.

10. Third-party services & bring-your-own-key

The Services let you connect third-party services that you control — for example, cloud AI model providers (using your own API keys), model registries such as Hugging Face, your own cloud accounts for deploying agent cells, local model runtimes, and the SSH hosts, clusters, cloud providers, databases, git servers, and MCP servers you connect the engineering apps to. Your use of those services is governed by their terms and policies, and you are responsible for any fees, keys, credentials, and compliance obligations associated with them. Open-weight models you download remain subject to their publishers’ licenses. OpenEng is not responsible for third-party services and does not control them.

11. Intellectual property

The Services, including the OpenEng software, apps, engines, brand, logos, and website content (excluding Your Content and third-party open-source components), are owned by OpenEng and protected by intellectual property laws. These Terms do not grant you any right to use the OpenEng name or logos without our prior written permission.

12. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated output will be accurate, complete, or suitable for any purpose. You are responsible for reviewing AI output and for any actions you take based on it.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENENG AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES. OPENENG’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (a) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE, OR (b) ONE HUNDRED U.S. DOLLARS (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless OpenEng from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your misuse of the Services, your violation of these Terms, or your violation of any law or the rights of a third party.

15. Termination

You may stop using the Services at any time and delete your account by contacting us. We may suspend or terminate your access if you breach these Terms or to protect the Services or other users. Provisions that by their nature should survive termination will survive, including sections 9 (Your content and data), 10 (Third-party services & bring-your-own-key), 11 (Intellectual property), 12 (Disclaimer of warranties), 13 (Limitation of liability), 14 (Indemnification), 16 (Governing law), and 18 (Miscellaneous).

16. Governing law

These Terms are governed by the laws of India, OpenEng’s principal place of business, without regard to conflict-of-laws rules. The courts of Bangalore, Karnataka, India will have exclusive jurisdiction over any dispute, except where applicable law gives you the right to bring proceedings in your country of residence. Nothing in these Terms limits any mandatory consumer-protection rights you may have.

17. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above and, for material changes, provide a more prominent notice. Your continued use of the Services after an update means you accept the revised Terms.

18. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and OpenEng regarding the Services. If any provision is found unenforceable, the rest remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
